End User Licence Agreement

Use of the insightsoftware Finland Oy's ("the Supplier") Clausion & Dynamic Reporting software (the "Software") is governed by the following licence terms. You agree to be bound by the terms of this End User Licence Agreement ("EULA") and the separate sales agreement with the Supplier or one of its affiliates, or with an authorized sales representative or reseller of the Supplier ("Sales Agreement") by installing, copying or otherwise using the Software.

IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, YOU MUST NOT INSTALL, COPY, OR USE THE SOFTWARE.

If you are agreeing to be bound by this EULA on behalf of your employer or other entity, you must have the authority to bind your employer or such entity to this EULA. If you do not have the requisite authority, you may not accept this EULA or use the Software on behalf of your employer or other entity.

Grant of Licence

Provided that you comply with all terms and conditions of this EULA and subject to payment of applicable fees, the Supplier grants to you a worldwide, revocable, non-exclusive and non-transferable licence to install and use the Software in accordance with the terms of this EULA.

You may install and run copies of the Software for your organization's end users according to the Sales Agreement. Any part of the Software may only be run as integrated and in combination with the other Software or services by the Supplier.

Use Restrictions

You may not yourself, or permit others to:

de-compile, reverse engineer or disassemble the Software or any part thereof;
modify, adapt, translate, incorporate the Software, in whole or in part, to any other product, or create any derivative works based upon the Software, or any part thereof;
copy the documentation accompanying the Software or use such documentation for any purpose other than to support your permitted use of the Software;
copy the Software or any part thereof onto any public network;
use the Software or any part thereof to operate in or as a time-sharing, outsourcing, service bureau, application service provider or managed service provider environment; or
change any proprietary rights notices which appear in the Software.

Further on, you may not allow more than the maximum number of authorized, concurrent end users to access and use the Software or any part thereof.

Backup Copies

After installation of the Software pursuant to this EULA, you may keep copies of the Software solely for backup purposes. Except as expressly provided in this EULA, you may not otherwise make copies of the Software or the documentation accompanying the Software.

Reservation of Rights and Ownership

The Supplier and its suppliers or licensors reserve all rights not expressly granted to you in this EULA. The Software is protected by copyright and other intellectual property laws and treaties. The Supplier and its suppliers or licensors own the title, copyright, and other intellectual property rights in the Software. The Software is licenced, not sold and remains the property of the Supplier and its suppliers or licensors.

Transfer of Rights

You may not transfer any of your rights under this EULA

Additional Software/Services

This EULA applies to all updates, supplements, add-on components, or Internet-based services components of the Software that the Supplier may provide to you or make available to you after the date you obtain your initial copy of the Software, unless the Supplier provides other terms along with the update, supplement, add-on component, or Internet-based services component. The Supplier reserves the right to discontinue any Internet-based services provided to you or made available to you through the use of the Software at any time without prior notice to you.

Support Services

The Supplier and its suppliers may provide you with support services related to the Software ("Support Services"), but they have no obligation to do so, unless otherwise agreed in writing between the Supplier and you. Any supplemental software code, which may be provided to you as part of the Support Services shall be considered part of the Software and subject to the terms and conditions of this EULA. With respect to technical information you may provide to the Supplier as part of the Support Services, the Supplier may use such information for its business purposes, including for product support and development, but the Supplier will not utilize such technical information in a form that identifies you.

Software Modification

The Supplier shall have the right to modify the design of the Software described herein at any time without notice to you.

Termination

If you fail to comply with the terms and conditions of this EULA, this EULA will automatically terminate without notice to you. In such event, you must promptly destroy all copies of the Software and all of its component parts.

Sections 4 (Reservation of Rights and Ownership), 10 (Disclaimer of Warranties), 11 (Exclusion of Incidental, Consequential and Certain Other Damages), 12 (Limitation of Liability and Remedies ) and 14 (Applicable Law and Dispute Resolution) shall survive any termination or expiration of this EULA.

Disclaimer of Warranties

The Supplier and its suppliers provide the Software strictly AS IS and with all faults, and without an obligation to provide any support services, and hereby disclaim all other warranties and conditions, either express, implied or statutory, including, but not limited to, any implied warranties, duties or conditions of merchantability, non-infringement, fitness for a particular purpose, accuracy or completeness of responses, results, workmanlike effort, lack of viruses, correspondence to description, and lack of negligence, all with regard to the Software. You assume all responsibility and risk for the selection of the Software to achieve your intended results and for the installation, use, and results obtained from it.

Exclusion of Incidental, Consequential and Certain Other Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE SUPPLIER OR ITS SUPPLIERS BE LIABLE FOR LOSS OF PROFITS, REVENUE OR DATA OR FOR ANY SPECIAL, INCIDENTAL, PUNITIVE, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT OR OTHER SERVICES OR INFORMATION, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS EULA.

Limitation of Liability and Remedies

To the maximum extent permitted by applicable law, the entire liability of the Supplier and any of its suppliers under this EULA and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you for the Software during a period of six (6) months immediately preceding the claim.

Export Laws and Regulations

You are required to comply with all applicable export laws and regulations.

Applicable Law and Dispute Resolution

This EULA is governed by the laws of Finland, excluding CISG and choice of law provisions.

Any dispute, controversy or claim arising out of or relating to this EULA, or the breach, termination, or validity thereof, will be finally settled by arbitration in accordance with the Arbitration Rules of the Finland Chamber of Commerce. The arbitral tribunal will consist of one (1) arbitrator. The seat of arbitration is Helsinki, Finland. The language of the proceedings is English.

Entire Agreement, Severability, Waiver

This EULA (including any addendum or amendment to this EULA which is included with the Software) together with the Sales Agreement is the entire agreement between you and the Supplier relating to the Software and the Support Services (if any) and it supersedes all prior or contemporaneous oral or written communications, proposals and representations with respect to the Software or any other subject matter covered by this EULA. To the extent the terms of any of the Supplier policies or programs for Support Services conflict with the terms of this EULA, the terms of this EULA shall prevail. If any provision of this EULA is held to be void, invalid, unenforceable, or illegal, the other provisions shall continue in full force and effect. A waiver is not valid or binding on the Supplier, unless made in writing and signed by the authorized representatives of the Supplier.

Changes to this EULA

The Supplier may revise and/or update the terms of this EULA from time to time. Such changes will be effective with or as applicable, without prior notice to you. The most current version of this EULA is available at https://documentation.clausion.com/documentation/fpm/EN/Clausion FPM End User Licence Agreement.pdf.

You are responsible for checking the changes periodically. Your continued use of the Software after a change to this EULA constitutes your complete and irrevocable acceptance of any and all such changes.

Clausion Cookie Policy

Cookie files are simple text files that are saved on your computer or other Internet-compatible devices (for example, smart phones and tablets) when you visit web sites. This information frequently consists of alphanumeric strings that uniquely identify your computer, but they may also contain other information.

Clausion Web Client uses cookies only for authentication and session handling purposes.

Clausion Web Client in On-premises environment:

Cross-Site Request Forgery token cookie

Cookie name: X-FPM-XSRF-TOKEN

Used to prevent Cross-Site Request Forgery (XSRF/CSRF) attacks. This token stores the generated value. The client application passes on the token with each request header and request body. In other words, the authentication token is retrieved, and the retrieved token is forwarded to the server within the service request.

No other tokens are retrieved.

Validation is done by the backend solution during the authentication and XSRF validation process.
Cookie to store the session information

Cookie name: fpmsessionid

An automatically generated identifier created by the login management API service and saved in the service during the login process. It has been passed to the backend solution with a response and added to the cookie collection with an expiration date and time.

Clausion Web Client in Clausion Cloud:

Only an authorization token is set for the bearer token before sending the request. The access token is generated Clausion service/application. This information gets appended with each request before sending the request in Clausion Cloud.
